These Terms of Service ("Terms") govern your access to and use of Saion's platforms, software, APIs, and services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
1 Services
Saion provides business-to-business SaaS tools including automation, communication, and AI-powered services designed to help businesses grow their revenue through intelligent email marketing and audience engagement.
2 Eligibility and Accounts
You must be at least 18 years old to use the Services You must provide accurate, complete, and current information when creating an account You are responsible for maintaining the security of your account credentials You are responsible for all activity that occurs under your account
3 Acceptable Use
You agree not to use the Services to:
Engage in any unlawful activity or violate applicable laws or regulations Violate privacy, anti-spam, or electronic communication laws Transmit malware, viruses, spam, or unsolicited messages Attempt to gain unauthorised access to any system, network, or data Reverse engineer, decompile, disassemble, or resell the Services Use the Services to harm, defraud, or harass any person
4 Customer Data
You retain full ownership of all data you upload, submit, or otherwise provide through the Services ("Customer Data").
You grant Saion a limited, non-exclusive licence to process, store, and use your Customer Data solely to provide and improve the Services.
You are solely responsible for ensuring that your Customer Data and your use of the Services comply with all applicable laws, regulations, and third-party rights.
5 Privacy
Our Privacy Policy governs the collection, use, and processing of personal data and is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to our Privacy Policy.
6 Fees and Payment
Fees for paid plans are billed in advance on a subscription basis All fees are non-refundable unless expressly stated otherwise in your plan or applicable law Saion reserves the right to change pricing with reasonable advance notice Continued use after a price change constitutes acceptance of the new fees
7 Third-Party Services
The Services may integrate with or link to third-party platforms, tools, or APIs. These integrations are governed by their own terms and privacy policies. Saion is not responsible for the availability, accuracy, or practices of any third-party service.
8 Intellectual Property
All rights, title, and interest in and to the Services — including software, designs, trademarks, algorithms, and documentation — remain exclusively with Saion. Nothing in these Terms transfers any intellectual property rights to you. You are granted only a limited, non-transferable licence to use the Services as permitted under these Terms.
9 Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of these Terms.
10 Termination
Saion may suspend or terminate your account and access to the Services at any time, with or without notice, for:
Violation of these Terms or applicable law Non-payment of fees Activity that poses a risk to Saion, its users, or third parties
You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately.
11 Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied — including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Saion does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
12 Limitation of Liability
To the maximum extent permitted by law, Saion's total cumulative liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees you paid to Saion in the twelve (12) months preceding the claim. In no event shall Saion be liable for indirect, incidental, consequential, special, or punitive damages.
13 Indemnification
You agree to indemnify, defend, and hold harmless Saion and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.
14 Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
15 Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending a notification to the email address associated with your account. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
